Terms of Use

By downloading, installing, or using Private Vault (the "App") on iOS, macOS, or Android, you agree to all provisions of these Terms of Use. If you do not agree, please stop using the App and remove it from your device.
1. Acceptance
By downloading or using the App, you are deemed to have agreed to all provisions of these Terms. If you do not agree, please uninstall the App.
2. Grant of License
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable right to install and use the App on devices you own or control, for personal, non-commercial purposes.
3. Prohibited Conduct
You shall not:
- Violate any law, court order, or legally binding administrative measure
- Act contrary to public order or morals
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of the App, except to the extent that such activity is expressly permitted by applicable law
- Copy, modify, adapt, create derivative works of, or translate the App into other languages without our prior written consent
- Use the App to store or distribute illegal or harmful content (including, without limitation, content that incites discrimination by race, nationality, creed, gender, or social status; that promotes suicide, self-harm, or drug abuse; that depicts the sexual abuse of minors; or that is violent or otherwise anti-social)
- Infringe the intellectual property, privacy, publicity, or other rights of any third party
- Interfere with the security mechanisms of the App or attempt to access another user's vault
4. User Responsibility
You use the App at your own risk and bear full responsibility for the consequences of your use, including data loss caused by losing your PIN or biometric authentication.
Because the App uses zero-knowledge design, we do not hold your encryption keys. If you lose access to both your PIN and your biometric authentication, recovering your data is technically impossible. The "Reset Vault" action in Settings completely and irreversibly deletes all stored data on the device.
5. Disclaimer of Data Warranty
We make no warranty of any kind regarding loss, corruption, or alteration of data arising from your use of the App. You are responsible for backing up important data at your own discretion using means external to the App.
6. Intellectual Property
The App, together with all trademarks, copyrights, database rights, and other intellectual property rights related to it, belongs to us. The copyrights of open-source software incorporated into the App belong to their respective authors; a list is available from Settings → About → Open-Source Licenses on every platform.
7. Changes to the App and these Terms
We may modify or discontinue any feature of the App at any time. We may also amend these Terms. Material changes will be announced via an in-app notice before they take effect. Continued use of the App after the effective date of revised Terms constitutes your acceptance of the revisions.
8. Termination
If we determine that you have materially violated these Terms, we may suspend or terminate your right to use the App without prior notice. Upon termination, you must uninstall the App; the on-device encrypted data remains under your sole control.
9. Disclaimer
The App is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement of third-party rights.
10. Limitation of Liability
To the maximum extent permitted by law, in no event shall we, our officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or in connection with your use of the App.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. Any dispute arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
